Terms of Service

Effective date: May 3, 2026

These Terms of Service ("Terms") govern your access to and use of TranscribeFlow, operated by SkyLounge SpA (RUT 78.369.285-6), a Chilean company ("we", "us", "our"). By creating an account or otherwise using the service, you agree to these Terms. If you don't agree, don't use the service.

Please also read our Privacy Policy, which is incorporated into these Terms by reference.

1. The service

TranscribeFlow lets you transcribe audio and video, generate AI-derived outputs (summaries, social-media repurposes, chapters, clip suggestions, captions, translations), and edit and export the results. We support multiple sources: direct file upload, and URL ingestion from public videos on platforms such as YouTube, TikTok, and Instagram.

Some features are described as "coming soon" on the marketing site (e.g. voice cloning, AI dubbing, lip-sync overlays). These are not currently available regardless of your plan; you will not be charged for unshipped features.

2. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction, if older) to use TranscribeFlow. If you are under 18 but at least 13, you may only use the service with the involvement and consent of a parent or legal guardian who agrees to these Terms on your behalf.

You may not use TranscribeFlow if you are barred from doing so under applicable law, including export controls and trade sanctions.

3. Your account

You create an account through our authentication provider (Clerk). You are responsible for:

  • Keeping your sign-in credentials secure
  • All activity that happens under your account, whether or not you authorized it
  • Notifying us promptly if you suspect unauthorized access
  • Providing accurate, up-to-date contact information

One person, one account. You may not share your account with others or use someone else's account.

4. Plans, pricing, and billing

Plans

TranscribeFlow offers a Free tier and paid plans (Creator, Pro, and Studio when available). Each plan has its own monthly transcript allowance, AI feature unlocks, and per-file duration limits. Current plan details are at transcribeflow.io/#pricing and on your account's Settings → Billing page. Limits are enforced server-side; once reached, additional usage is blocked until the next monthly reset or until you upgrade.

Auto-renewal (important)

Paid plans renew automatically at the end of each billing cycle (monthly or yearly) at the then-current price for that plan, unless you cancel before the renewal date. We will email you a renewal notice at least 7 days before each annual renewal.

You can cancel anytime from Settings → Billing → Cancel subscription, or by contacting us. Your paid features remain available through the end of the current billing period; the auto-renewal does not occur. We do not charge cancellation fees.

Refunds

Subscriptions are generally non-refundable once a billing cycle has started. However, we offer the following refunds:

  • 14-day return window for new annual plans: if you cancel within 14 days of starting a new annual subscription, we will refund the full amount, less any platform usage above the equivalent monthly tier value.
  • Service failure: if a transcript fails to complete due to a problem on our side and we cannot resolve it within 7 days, we will refund the proportional value or apply credit to your next billing cycle.
  • Chilean SERNAC right of withdrawal: Chilean consumers have the rights provided under Ley 19.496 (Ley del Consumidor), including a 10-day right of withdrawal for distance sales.

Taxes

CLP prices on our pricing page include 19% IVA (Chilean VAT). USD prices for international customers are exempt from Chilean IVA per Decreto Ley 825 Art. 12 letra E (export of services). You are responsible for any taxes that apply in your own jurisdiction.

Failed payments

If a renewal payment fails, we will retry per our payment provider's standard retry schedule (typically 3 attempts over ~10 days). If the payment ultimately cannot be collected, your account will be downgraded to the Free tier and your access to paid features will end. Your transcripts and account remain intact.

5. Your content

Ownership

You retain ownership of any content you upload, paste a URL to, or generate through TranscribeFlow (your "User Content"). This includes the original media, the resulting transcripts, and any AI-generated outputs (summary, repurpose, chapters, clip-finder results, captions, translations).

License to us

You grant us a limited, worldwide, non-exclusive, royalty-free license to host, store, process, transmit, and display your User Content solely as needed to provide the service to you. This license ends when you delete the content or your account.

We do NOT use your content to train AI models — ours, our sub-processors', or any third party's. See our Privacy Policy for the full list of purposes.

Your representations

By submitting User Content, you represent and warrant that:

  • You either own the content or have all necessary rights and permissions to upload and process it.
  • The content does not infringe any third party's intellectual property, privacy, publicity, or other rights.
  • Your use of the content with TranscribeFlow does not violate any applicable law, regulation, or third-party platform's terms of service.

For URL-based ingestion (YouTube, TikTok, Instagram, etc.), you are responsible for ensuring you have the right to download and transcribe the content from that source. We provide the technical capability; we do not adjudicate copyright disputes between you and rights holders.

6. Acceptable use

You may not use TranscribeFlow to:

  • Process content you don't have the right to use (copyright violation, unauthorized use of someone else's voice or likeness)
  • Transcribe private conversations of people who haven't consented to recording or transcription, where consent is required by law
  • Create deepfakes, voice clones, or synthetic media designed to impersonate real people without their consent. (Voice cloning features, when launched, will require explicit consent attestation for each cloned voice.)
  • Process content that is illegal, obscene, defamatory, harassing, threatening, or that exploits minors
  • Generate content for spam, fraud, phishing, or to mislead about your identity
  • Scrape, crawl, or systematically download content from TranscribeFlow itself, or attempt to bypass plan limits
  • Reverse-engineer, decompile, or extract our software except where applicable law expressly permits
  • Use the service in a way that disproportionately consumes our infrastructure (bulk-uploading hundreds of files in parallel, running automated stress tests, etc.)
  • Resell access to TranscribeFlow as a wrapper or white-label service without a written agreement

We may suspend or terminate accounts that violate these rules. For severe violations (CSAM, doxxing, threats), we will report to the appropriate authorities.

7. AI-generated outputs

TranscribeFlow uses third-party AI models (faster-whisper for transcription, pyannote.audio for speaker diarization, Anthropic Claude for text-based AI features). AI is probabilistic, not deterministic, and outputs can include:

  • Transcription errors, especially for unclear audio or accents
  • Mis-attributed speakers
  • "Hallucinations" in summaries, chapters, or clip suggestions (plausible-sounding but factually incorrect content)
  • Translations that miss nuance or idiom

You are responsible for reviewing and verifying AI-generated outputs before relying on them or publishing them. We provide an editor so you can correct any output. Do not use TranscribeFlow as the sole source for high-stakes decisions (legal, medical, journalistic verification, etc.) without independent review.

The legal status of AI-generated content (copyright, attribution) varies by jurisdiction and is rapidly evolving. You assume the risk of any legal uncertainty around AI outputs.

8. Intellectual property (ours)

The TranscribeFlow service — including the software, design, brand, trademarks, and accompanying documentation — is owned by SkyLounge SpA and protected by copyright, trademark, and other laws. We grant you a personal, non-transferable, revocable license to use the service per these Terms. We do not grant any other rights — no implied licenses.

9. Service availability

We aim to keep TranscribeFlow available 24/7, but we don't guarantee any specific uptime. We may need to take the service down for maintenance, deploy updates, or respond to incidents. We'll give advance notice for planned downtime when reasonably possible.

Third-party platforms (YouTube, TikTok, Instagram) may at any time change their systems in ways that break URL ingestion. We do our best to keep up but cannot guarantee continuous compatibility with any specific source.

10. Beta features

Some features may be marked as beta, preview, or experimental. These can change, break, or be removed without notice. Use them at your own risk. They are provided as-is and outside the standard warranties.

11. Termination

By you

You can stop using TranscribeFlow at any time. To delete your account and all data, use Settings → Account → Delete account, or email us. After deletion, your transcripts and uploads are removed within 30 days.

By us

We may suspend or terminate your account if:

  • You materially breach these Terms
  • We are required to do so by law or court order
  • Your account is dormant for 12+ months on the Free tier (after advance notice)
  • Continued operation poses a legal or security risk to us or other users

For non-emergency terminations, we'll give you 30 days to export your data. For emergencies (legal orders, severe abuse), termination may be immediate.

12. Disclaimers

To the maximum extent permitted by law, the service is provided "AS IS" and "AS AVAILABLE", without warranties of any kind, express or implied — including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy of AI-generated content, or uninterrupted availability.

Some jurisdictions do not allow the disclaimer of certain warranties (notably consumer rights under Chilean Ley 19.496 and EU consumer law). Where that's the case, those warranties apply to you to the extent the law requires, and the rest of this section applies to the maximum extent permitted.

13. Limitation of liability

To the maximum extent permitted by law, neither SkyLounge SpA nor any of our officers, directors, employees, or sub-processors will be liable for:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or goodwill
  • Damages arising from inaccurate AI outputs, third-party content integrations, or service interruptions

Our total liability for any claim arising out of or related to the service is capped at the greater of:

  • The amounts you paid us in the 12 months before the claim arose, or
  • USD $100.

This cap applies whether the claim is in contract, tort, or any other theory of liability. Some jurisdictions do not allow these limitations; in those places, this section applies to the maximum extent permitted.

14. Indemnification

You agree to defend, indemnify, and hold harmless SkyLounge SpA and its agents from any claims, damages, liabilities, costs, and expenses (including reasonable attorney fees) arising out of:

  • Your User Content
  • Your use of the service in violation of these Terms
  • Your violation of any law or third-party right (especially copyright, privacy, or publicity rights of people whose content you process)

15. Changes to the service or Terms

We may modify the service or these Terms over time. For material changes to the Terms, we will notify active users by email at least 30 days before the new Terms take effect. Continued use of the service after the effective date constitutes acceptance of the updated Terms.

For minor or non-material changes (typos, clarifications), we may update without separate notice; the "Effective date" at the top of this page always reflects the current version.

16. Governing law and disputes

These Terms are governed by the laws of the Republic of Chile, without regard to conflict-of-laws principles. The courts of Santiago, Chile have exclusive jurisdiction over any dispute, except where mandatory consumer-protection law provides otherwise.

Before pursuing formal proceedings, we encourage you to contact us at skylounge.latam@gmail.com so we can try to resolve things directly. Chilean consumers may also file a complaint with SERNAC (Servicio Nacional del Consumidor) at sernac.cl.

EU consumers may use the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

17. Miscellaneous

  • Entire agreement: these Terms plus the Privacy Policy and any additional terms you agree to in-product constitute the entire agreement between you and us.
  • Severability: if any provision is held unenforceable, the rest of the Terms remain in effect.
  • No waiver: failure to enforce any provision is not a waiver of our right to enforce it later.
  • Assignment: you may not assign or transfer your rights under these Terms without our written consent. We may assign in connection with a merger, acquisition, or sale of assets.
  • No third-party beneficiaries: these Terms don't create rights for anyone other than you and us.
  • Notices to you: we may notify you by email or in-app banner. Notices to us must go to skylounge.latam@gmail.com.
